Investment Objective & Policy

The Fund’s objective is to deliver current income and long-term capital appreciation by acquiring, funding, and holding interests in a diversified portfolio of Hotel101 branded hospitality assets.

To pursue this objective, the Fund intends to deploy capital raised from eligible investors and, where applicable, financing at the level of underlying holding structures to acquire and or forward fund standardized Hotel101 hotel room portfolios and related hospitality real estate opportunities. Investments are typically implemented through regional SPVs and intermediary holding structures, in accordance with the Fund’s risk spreading approach and investment restrictions as set out in the Offering Documents.

Any material change to the Fund’s investment objective or investment policy will be made in accordance with the Fund’s governing documents and, where required, with investor approval.

The Fund operates under an institutional governance framework designed for professional investors, with clear role separation, documented decision-making and defined oversight and delegation.

The Luxembourg RAIF compartment structure provides ring-fencing and formalised service-provider appointments. Governance and reporting processes are designed to support transparency, accountability and consistent investor disclosures across the platform.

The vehicle is managed by an authorised external AIFM responsible for portfolio and risk oversight, valuation governance, and regulatory reporting, supported by defined control functions and delegation arrangements. 

The Investment Advisor supports underwriting, structuring, execution support, and ongoing monitoring within the external AIFM oversight framework and delegated mandate. 

Distributions are intended to be made from available distributable cash after costs and reserves, subject to performance, governing documents, and GP discretion. Distributions are not guaranteed. 

The strategy does not pursue a sustainable investment objective. ESG considerations may be assessed where relevant to prudent asset selection, design, and monitoring, with measures varying by project and local requirements.
